TFI International Inc. (TSE:TFII) shareholders (or potential shareholders) will be happy to see that the President, Alain Bedard, recently bought a whopping CA$2.6m worth of stock, at a price of CA$132. While that only increased their holding size by 0.4%, it is still a big swing by our standards.
Notably, that recent purchase by President Alain Bedard was not the only time they traded TFI International shares this year. Earlier in the year, they sold shares at a price ofCA$232 per share in a -CA$8.9m transaction. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. It's of some comfort that this sale was conducted at a price well above the current share price, which is CA$136. So it is hard to draw any strong conclusion from it.
Over the last year, we can see that insiders have bought 40.19k shares worth CA$5.9m. On the other hand they divested 114.03k shares, for CA$23m. Over the last year we saw more insider selling of TFI International shares, than buying. The sellers received a price of around US$203, on average. We are not joyful about insider selling. However, we do note that the average sale price was significantly higher than the current share price (which is CA$136). I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. TFI International insiders own about CA$724m worth of shares (which is 6.3% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
It is good to see recent purchasing. On the other hand the transaction history, over the last year, isn't so positive. The recent buying by some insiders , along with high insider ownership, suggest that TFI International insiders are fairly aligned, and optimistic. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. In terms of investment risks, we've identified 1 warning sign with TFI International and understanding this should be part of your investment process.
