The proposed transactions under the transaction agreement include the company's investment in Beijing Youjun, the establishment of a joint venture between the company and Beijing Youjun through Dejun Intelligent Computing, and related technical cooperation and assembly and supply arrangements.
According to the capital increase and share purchase agreement, the group agreed to invest RMB 5 million in Beijing Youjun. After Beijing Youjun completes the project, the Hainan subsidiary will hold 4% of Beijing Youjun's expanded shares. The Beijing You Jun shareholders' agreement sets out the governance arrangements and shareholders' rights relating to Beijing You Jun after Beijing has completed the matter.
According to the Dejun Intelligent Computing Joint Venture Agreement, after Yu Dejun Smart Computing completes the matter, Dejun Smart Computing will hold 60% of Infinite Galaxy (a wholly-owned subsidiary of the company) and 40% by Hong Kong You Jun (a wholly-owned subsidiary of Beijing You Jun), and will continue to be a non-wholly-owned subsidiary of the company.
According to the technical cooperation agreement, the company will provide production and assembly bases at the Group's facilities and carry out production and assembly work for Beijing Youjun's modular data center module, while Beijing Youjun will provide necessary technical support. According to the assembly and supply agreement, D&G Machinery will assemble and supply infrastructure and related systems for the demonstration modular data center module for Beijing Youjun. The contract amount is RMB 3.3 million.
According to the announcement, the purpose of this cooperation is to combine Beijing Youjun's technology, know-how and technical capabilities in modular data center infrastructure and integrated computing, energy and network solutions with the Group's production facilities, manufacturing and engineering experience, and supply chain resources. This cooperation will also utilize the Group's international network, commercial resources and market development capabilities to identify and evaluate potential customers and projects outside of mainland China. As an operating platform registered in Hong Kong, Dejun Intelligent Computing aims to support the deployment and commercialization of such solutions in relevant markets. Dejun Intelligence will initially focus on initial market exploration and identification of potential business opportunities, and the scope and pace of further development will be determined after evaluating such opportunities.
Specifically, demonstration projects and technical cooperation and assembly and supply arrangements will enable the Group to use its existing production facilities and electrical, mechanical and manufacturing capabilities in Langfang City, Hebei Province, China to assemble and integrate the modular data center module infrastructure and related systems in accordance with Beijing Youjun's technical specifications and with its technical support. The Group believes that these activities provide a practical way to apply its existing resources to new product categories and further develop its production, assembly and system integration capabilities. The arrangement will also provide a platform to explore the integration of new energy and sustainable solutions (including energy storage, power management and thermal management) into the supporting energy infrastructure of modular data center systems.
In summary, the investment in Beijing Youjun, the demonstration project, and the establishment of Dejun Intelligent Computing provided a path for the Group to participate in modular data center modules and related infrastructure fields in stages. This approach will enable the Group to accumulate relevant technical and operational experience and assess market requirements before determining the scope and pace of further business development, and is in line with the Group's established business priorities on technological innovation, sustainable energy solutions and wider industrial applications.
