The Zhitong Finance App learned that on Monday, Maywell Technology (MRVL.US) fell more than 2% before the market, and Lumentum (LITE.US) fell nearly 6% before the market. According to the news, on November 2, local time, Maywell Technology announced that it had reached a final agreement with optical communication component manufacturer Lumentum to acquire the latter through an all-stock transaction. The transaction implied a corporate value of about 115 billion US dollars. According to the agreement, Lumentum shareholders will receive 4.5 Marvell shares for every share they hold. Based on the closing prices of the two companies on October 28, that is, before the rumor of the transaction appeared, the transaction premium was about 23.9%.

After the transaction is completed, Marvell's current shareholders are expected to hold approximately 67% of the combined company's shares, while Lumentum shareholders hold approximately 33% of the shares. Marvell CEO Matt Murphy will continue to lead the merged company. The transaction is expected to be completed in the first half of 2028 and is still subject to approval from both shareholders and regulators.

Maywell expects the merger to achieve cost synergies of more than $1 billion a year and increase non-GAAP earnings per share in the first year after the transaction is completed. After the merger, the company's target market size is expected to expand to $550 billion.
