Rent the Runway, Inc. (NASDAQ:RENT) stock surged in premarket trading Monday after regulatory filings showed that three major investors purchased a combined 1.72 million shares Class A common stock worth about $6.1 million as part of a rights offering backstop agreement.

Major Investors Acquire $6.1 Million In Shares

The purchases were made Oct. 21 at $3.55 per share by entities affiliated with CHS US Investments LLC, Nexus Capital Management LP and STORY3 Capital Partners LLC, according to filings with the Securities and Exchange Commission.

CHS US Investments purchased 458,245 shares, while Gateway Runway LLC, an entity affiliated with Nexus, and S3 RR Aggregator LLC, affiliated with STORY3, each acquired 632,922 shares.

Investors Report Significant Ownership Stakes

Following the transactions, CHS US Investments reported a 60.4% stake in Rent the Runway, while Nexus and STORY3 each reported beneficial ownership of approximately 12.9%.

The three investors collectively reported beneficial ownership of about 86.2% of the company’s outstanding Class A shares, although they disclaimed forming a group under federal securities laws.

Trading Volume Surges Amid Micro-Cap Volatility

The sharp trading activity also highlights the volatility associated with micro-cap stocks such as Rent the Runway, which has a market capitalization of roughly $80 million.

Trading volume surged to approximately 12.95 million shares, compared with its 100-day average of just 138,534 shares, representing nearly 93.5 times normal volume.

Meanwhile, short interest accounted for 31.87% of the company’s 5.15 million-share float, with approximately 1.64 million shares sold short.

Such unusually heavy trading can amplify price swings, particularly in smaller companies with historically limited liquidity, leaving shares vulnerable to rapid reversals as speculative interest shifts.
