Nebius Group N.V. (NASDAQ:NBIS) shares are trading lower Thursday despite the company announcing a $3.5 billion senior secured financing facility with Citi, as a broader market selloff weighs on AI infrastructure stocks.

Nebius Secures a $3.5 Billion Senior Secured Facility With Citi

The facility has a 364-day maturity and initially bears interest at Term SOFR plus 2.75%, rising to as much as 3.50%. Nebius will use the proceeds for data center development and GPU procurement and for general corporate purposes. Citi acted as mandated lead arranger, agent and security agent. Nebius said the facility adds to a funding base that includes customer prepayments and operating cash flows and gives it more flexibility over the timing and structure of longer-term financing for growth in 2027 and beyond.

"Sequencing our financing is how we optimize our long-term cost of capital," said Ophir Nave, Nebius’ chief operating officer. He said the company still has other capital sources, including asset-backed financing based on investment-grade customer commitments of more than $40 billion of long-term contracts.

Planned Iran Strikes and Rising Oil Prices Weigh on the Broader Market

U.S. stock futures fell Thursday after the New York Times reported that the U.S. and Israel have developed plans for renewed strikes on Iran after the November midterm elections, targeting energy infrastructure, nuclear facilities and missile arsenals. Brent crude rose above $112 a barrel. Nasdaq 100 futures were down about 1.9% and S&P 500 futures about 1.1% in premarket trading, according to Benzinga’s market report. TipRanks noted that neocloud peers CoreWeave and IREN also fell about 5% in premarket, with no company-specific announcement behind the declines.

Investors grew more cautious on AI infrastructure spending as oil rose and tech stocks fell, and higher borrowing costs could make data center projects more expensive.
