04:59 AM EDT, 10/15/2026 (MT Newswires) -- System1 Group's (SYS1.L) board "unanimously and unequivocally" recommended that shareholders reject Brave Bison Group's (BBSN.L) unsolicited "fifth and final" offer to acquire shares it does not already own in the former. The board said Thursday the latest offer "materially undervalues" System 1 and that Brave Bison's strategic rationale for the deal "remains largely unclear." Brave Bison owns 27.85% of the AIM-listed marketing decision-making platform company. Brave Bison on Oct. 7 offered to acquire System1 for 2.394 new shares, 1.80 pounds sterling in cash, and one contingent value right per share, implying a total value of 53.4 million pounds excluding the CVR. Alternatively, shareholders may elect to receive 3.36 new Brave Bison shares per System1 share.
