No. RMG 85/2026 15 October 2026 Subject: Progress regarding the signing of the sale and purchase agreement (SPA) and the placement of the deposit by Orchid Hospitality Company Limited pursuant to the offer to purchase the Property of Grande Royal Orchid Hospitality Real Estate Investment Trust with Buy-Back Condition To: President Stock Exchange of Thailand Further to the disclosure by One Asset Management Company Limited ("ONEAM"), in its capacity as the REIT Manager of Grande Royal Orchid Hospitality Real Estate Investment Trust with Buy-Back Condition ("GROREIT"), in the notice convening the Unitholders' Meeting No. 1/2026 of Grande Royal Orchid Hospitality Real Estate Investment Trust with Buy-Back Condition, that Orchid Hospitality Company Limited ("Orchid Hospitality") agreed to sign the sale and purchase agreement (SPA) with GROREIT and is willing to place a deposit for the purchase of the property of the Royal Orchid Sheraton Hotel & Towers project (the "Royal Orchid Hotel Project") with GROREIT in the amount of THB 100 million on the date of signing of the sale and purchase agreement, and that the signing of the sale and purchase agreement and the placement of the deposit would be completed at least 14 days prior to the Unitholders' Meeting (which falls on 14 October 2026), whereby the signing by GROREIT as the seller and the conditions of the sale and purchase of the property will become fully legally effective upon obtaining the approval resolution of the unitholders in accordance with the law. ONEAM, in its capacity as the REIT Manager, would like to inform that, in order for the execution of any juristic acts in relation to the sale and purchase of the "Royal Orchid Hotel Project" to be carried out prudently, cautiously and transparently, GROREIT, by MFC Asset Management Public Company Limited, in its capacity as the Trustee, will sign the SPA with Orchid Hospitality only once the Unitholders' Meeting of GROREIT has resolved to approve Agenda 2, where the unitholders have not resolved to approve Agenda 1 on the disposal of the "Royal Orchid Hotel Project" to Royal Orchid Hotel (Thailand) Public Company Limited ("ROH"), or have resolved to approve Agenda 1 but ROH is unable to comply with the specified conditions and timeframe, whichever event occurs later, together with Orchid Hospitality having placed the deposit of THB 100 million with GROREIT. However, Orchid Hospitality still confirms that it will place the deposit on the date of signing of the sale and purchase agreement after the Unitholders' Meeting has passed the aforementioned resolution, and such matter does not affect the agenda items to be considered by the unitholders, since such matter is merely part of the offer of Orchid Hospitality and is not a breach of the sale and purchase agreement in any way.
