IonQ (IONQ) stock is under immense pressure on Oct. 12 after the quantum-tech company announced an acquisition that triggered dilution concerns. In a press release this morning, IonQ said it’s buying cybersecurity specialist Elisity in an all-stock transaction valued at up to $1.3 billion.
The announcement arrives at a time when IONQ shares are already struggling to regain momentum, currently trading at roughly half their price in late May.
The proposed combination, which includes up to $150 million in performance-dependent earnouts, would expand IonQ’s enterprise security capabilities. But the bearish implication is dilution; issuing equity to Elisity’s investors would reduce existing shareholders’ ownership stakes.
More importantly, the deal requires IONQ to issue more stock when the share price is lower to pay the same dollar amount for Elisity.
Investors are therefore bailing on IonQ shares as they evaluate whether the acquired business can generate sufficient additional value to justify that dilution.
In short, the quantum computing stock is in the red because integration adds execution risk, while the anticipated commercial benefits of buying Elisity remain unproven.
Elisity offers a credible commercial rationale. According to IonQ, the business has more than 100 global customer deployments and has doubled revenue and its customer base year-over-year, with no churn among deployed customers.
Combining its network access controls with the NYSE-listed firm’s quantum security capabilities could create opportunities to sell additional products to enterprise and government customers.
However, today’s release provides no specific revenue figure or quantified earnings contribution, making the purchase price somewhat difficult to assess. Therefore, a cautious approach would be to await clearer financial disclosures and evidence that customer growth can actually translate into value per share.
Wall Street firms nonetheless recommend risk-averse investors buy the dip in IONQ stock today.
According to Barchart, the consensus rating on the quantum technology giant sits at “Strong Buy,” with the mean price target of about $67 indicating potential for about 90% upside from current levels.
