Schneider Electric Inks $22.6 Billion Deal to Buy US Engineering Software Provider PTC

04:07 AM EDT, 10/05/2026 (MT Newswires) -- Schneider Electric (SU.PA) agreed to buy US engineering software provider PTC at a valuation of $22.6 billion and an implied enterprise value of $23.7 billion. The Paris-listed energy technology company agreed to pay $205 per share in cash for PTC, according to a Monday release. It expects the transaction to generate a low single-digit boost for its adjusted EPS in the first full year of consolidation and a mid-to high-single-digit contribution when including full run-rate synergies. The transaction is also expected to pave the way for the upstream expansion of Schneider's asset lifecycle platform into product design and engineering. Schneider intends to settle the acquisition through an equity issuance of 5 billion euros to 6 billion euros and a debt issuance of 16 billion euros to 17 billion euros. Completion is expected by the third quarter of 2027, subject to the approval of PTC's shareholders and relevant regulators, among other conditions. Schneider's shares in Paris fell nearly 9% in early morning trading.
