White Pigeon Online (02672): Proposed appointment of Zhu Tao as non-executive director candidate

According to Zhitong Finance App, White Pigeon Online (02672) announced that due to the need to invest more time and energy in other personal and business matters, (i) Mr. Zheng Yu plans to resign as a non-executive director; and (ii) Dr. Jiang Min plans to resign as an independent non-executive director, Chairman of the Remuneration and Assessment Committee, and a member of the Nomination Committee. The above resignation will take effect on the date (i) Mr. Zhu is appointed as a non-executive director; and (ii) Mr. Lu is appointed as an independent non-executive director.

After considering the nomination committee's recommendations, the board of directors has decided to recommend the appointment of Mr. Zhu Tao as a non-executive director candidate and Mr. Lu Weidong as an independent non-executive director candidate. The proposed appointments of Mr. Zhu and Mr. Lu must be approved by the shareholders by an ordinary resolution at the Extraordinary Shareholders' Meeting and will take effect on the day they are approved at the Extraordinary Shareholders' Meeting.

Subject to the shareholders' approval of the relevant resolution recommending the appointment of Mr. Zhu and Mr. Lu at the Extraordinary Shareholders' Meeting, the composition of the Company's Audit Committee, Remuneration and Assessment Committee and Nomination Committee will be changed as follows after the EGM: (a) Dr. Jiang will no longer serve as Chairman of the Remuneration and Assessment Committee and a member of the Nomination Committee. (b) Dr. Zhao Zhengtang is no longer the Chairman of the Audit Committee. He has been appointed as the Chairman of the Remuneration and Assessment Committee. (c) Mr. Lu Weidong has been appointed as Chairman of the Audit Committee, a member of the Remuneration and Assessment Committee and a member of the Nomination Committee.
