Agfa-Gevaert Shares Soar on Digital Printing Unit Merger, Siris Capital Stake Deal

05:12 AM EDT, 09/28/2026 (MT Newswires) -- Agfa-Gevaert (AGFB.BR) shares surged on Monday after announcing the merger of its digital printing solutions business with Siris Capital Group's portfolio company Electronics for Imaging, or EFI, alongside an investment deal with the US private equity firm. The combined entity will be 40%-owned by Agfa-Gevaert and 60% by an affiliate of Siris, with both parties holding equal governance rights, according to a Monday release. The proposed deal builds on a global partnership formed between Agfa-Gevaert and industrial inkjet company EFI in 2024. The merger is expected to create an industrial inkjet business with a projected pro forma revenue of 540 million euros in 2026, serving a diversified customer base across more than 100 countries. The merged company could be valued at more than $1 billion, Bloomberg News reported the same day, citing unnamed sources with knowledge of the matter. "By bringing together Agfa DPS and EFI, we are creating a stronger business with greater scale, broader access and enhanced innovation capabilities. Rather than continue as a standalone business, we are choosing to partner with Siris to unlock the next phase of accelerated growth for our DPS business while maintaining meaningful upside for Agfa's stakeholders," Agfa-Gevaert Chief Executive Officer Pascal Juéry said. Separately, Siris also signed a strategic investment deal to purchase Active Ownership's 19.1% stake in Agfa-Gevaert for an undisclosed sum. Completion of the merger is expected by the end of 2026, pending employee information and consultation processes, as well as regulatory approvals and other customary closing conditions. The stake deal is subject to the merger's conclusion. Agfa-Gevaert shares were up 27% during midmorning trading in Brussels.
