Shaw Brothers Holdings (00953) terminated the acquisition of all shares of CMC Moon Holdings Limited and resumed trading on September 21

According to Zhitong Finance App, Shaw Brothers Holdings (00953) issued an announcement on matters relating to the acquisition of all issued share capital of CMC MOON HOLDINGS LIMITED. Following commercial negotiations between the Company and CMC, and after considering the changing market environment and business strategy, the status of unmet conditions under the sales agreement, and the viability of reaching such conditions on or before the final deadline (i.e. December 31, 2026), the contracting parties mutually agreed to immediately terminate the sales agreement. After the relevant termination, the Company and CMC each irrevocably and unconditionally cancel and absolve each other's claims, demands, lawsuits, liabilities and obligations of any and all nature arising out of or relating to the sales agreement.

Due to the termination of the sales agreement, the transactions to be carried out under it will not be carried out. As a result, no clean-up exemptions will be applied for, no circulars will be sent, and the Extraordinary General Meeting of Shareholders originally convened to approve (including) the sale agreement and proposed transactions under it will not be convened.

The Board believes that the termination of the sale agreement will not have any significant adverse effect on the Group's current business, operation or financial position.

The Company has applied to the Stock Exchange to resume trading of the Company's shares on the Stock Exchange from 9:00 a.m. on September 21, 2026 (Monday).
