The Zhitong Finance App learned that the Tianshu Zhixin (09903) capitalization issuance resolution was approved by the Extraordinary Shareholders' Meeting on September 10. The company uses share reserves to increase the share capital and allocates new shares to all shareholders according to the ratio of 2 new shares allocated to each existing share, thereby optimizing the share capital structure and consolidating the foundation for capital market operation.
Today, the company's stock price has been traded at the exclusive price. The newly issued H shares are expected to be delivered on September 22, and listing and trading will begin on September 23.
This capitalized issuance is a common share capital adjustment method in the Hong Kong stock market. The company uses share reserves to increase share capital, and all shareholders can obtain additional shares without payment of capital. According to this plan, each holding 1 share of the original shares will be allotted 2 new shares. After completion, the number of shareholders' holdings will triple; for example, investors holding 1,000 shares will change their holdings to 3,000 shares after the IPO is listed. The stock price will be reduced proportionately to one-third of the original share price after the exclusion date. Theoretically, the market value of shareholders' holdings will remain unchanged. This operation will not dilute shareholders' equity.
This capitalized release is expected to bring positive effects at multiple levels to Tianshu Zhixin.
First, lower the transaction threshold for H shares per lot and improve liquidity in the secondary market. After the stock price was lowered, the entry capital threshold for individual stocks was lowered, which is expected to expand the investor base, broaden the shareholder base, and increase stock trading activity.
Second, increase registered capital and release the flexibility of capital operation. The increase in registered capital can better meet the legal threshold requirements for equity and debt financing, reduce related process restrictions, and reserve operating space for subsequent capital operations.
Third, the increase in registered capital will help improve the market's perception of the company's financial strength, strengthen its commercial reputation in the eyes of partners, and enhance its competitiveness in obtaining and maintaining business cooperation.
