China Resources Medical (01515): Court Order Confirms the Cancellation of Yanhua's IOT Agreement on July 2, 2025

In June 2025, the company filed a new lawsuit with the Beijing No. 2 Intermediate People's Court over the Yanhua IOT agreement dispute, requesting the court to decide to cancel the Yanhua IOT agreement and order Yanhua Phoenix and/or Yanhua Hospital to pay compensation for breach of contract and return the relevant amounts under the Yanhua IOT agreement.

The Company has recently received a first instance judgment of the Beijing Second Intermediate People's Court dated August 26, 2026 (first instance judgment in the new lawsuit), which (1) confirmed that the Yanhua IOT agreement was terminated on July 2, 2025; (2) ruled that Yanhua Phoenix should return RMB 45.598 million in consideration for the transfer of management rights and interest (extra); (3) ruled that Yanhua Hospital should return an outstanding interest-free loan of RMB 127.2868 million; (4) ruled that Yanhua should pay RMB 41.3019 million in hospital management fees and losses Najin ( (Separately); and (5) determined that Yan Huafang should pay RMB13,5581 million in integrated service transaction cessation losses and interest (not included). Both parties did not appeal the first instance judgment in the new lawsuit during the appeal period, so the first instance judgment in the new lawsuit officially came into effect on September 11, 2026.

The Company will do its best and take all appropriate actions in accordance with the law to obtain funds from the first instance judgment in the new lawsuit and protect the interests of the Company and its shareholders. Generally speaking, the time and outcome of execution of court decisions are affected by actual factors.
