Valerio Therapeutics to Buy Etherna Immunotherapies in EUR30 Million Deal

02:35 AM EDT, 08/24/2026 (MT Newswires) -- Valerio Therapeutics (ALVIO.PA) agreed to acquire Etherna Immunotherapies at an enterprise value of 30 million euros on a cash-and-debt-free basis, according to a Monday release. Under a definitive share purchase agreement and a related contribution agreement, the French biotechnology company will pay part of the consideration in cash using proceeds from a 40.3 million-euro private investment in public equity financing backed by existing shareholders and new investors. The financing comprises a placing of 68,220,333 new ordinary shares at a subscription price of 0.59 euro each. The proceeds will be used to integrate Etherna and advance the company's proprietary pipeline and investigational new drug-enabling activities Valerio will pay the remaining consideration through in-kind contributions of Etherna shares, subject to shareholder approval at an extraordinary general meeting scheduled for Oct. 6.
