TL NATURAL GAS (08536) plans to invest 4.6 million yuan to participate in a joint venture to lay out the Hainan Free Trade Port L4 unmanned vehicle and smart capacity business

Zhitong Finance App News, TL NATURAL GAS (08536) announced that on August 21, 2026, Jiekai, a wholly-owned subsidiary of the company, signed a joint venture agreement with its joint venture partner to establish a joint venture. According to the terms of the joint venture agreement, the registered capital of the joint venture will be 10 million yuan. Jiekai, Lucky, and Xinghui Jiu Shi will invest 4.6 million yuan, 3.5 million yuan and 1.9 million yuan respectively in the joint venture, accounting for 46%, 35% and 19% of the joint venture's registered capital, respectively.

The proposed name of the joint venture is Jiuyuan Technology (Hainan) Co., Ltd. The joint venture will be a smart transportation platform enterprise based at the Hainan Free Trade Port. Its core business covers L4 unmanned vehicle city distribution, port and industrial park logistics, new energy commercial fleet operation, cross-border capacity leasing, smart scheduling SaaS services, and the construction and operation of integrated energy networks combining solar power generation, energy storage, charging, battery replacement, hydrogen refueling and parking. Relying on the free trade port policy and the advantages of commercial unmanned vehicle traffic rights, the joint venture is committed to creating an end-to-end unmanned capacity solution that can be reproduced and exported.

In order to give full play to the strengths and resources of the joint venture partners and achieve mutually beneficial and win-win development, the Group reached an agreement with the joint venture partner to establish a joint venture. The joint venture will focus on commercializing the brand's autonomous unmanned city distribution equipment and building its ecosystem; the initial operation will be based in Hainan Province, covering but not limited to Chengmai County, Sanya City, Qionghai City, Boao Town, Haikou City, Dongfang City and Danzhou City, and will operate in accordance with the business plan agreed by the contracting parties in accordance with the joint venture agreement.
