Koninklijke Philips NV (NYSE:PHG) stock rose almost 1% in Tuesday premarket trading after the company extended its long-term relationship with Exor N.V. (OTC:EXXRF), its largest shareholder.
Under the updated agreement, Exor can increase its stake in Philips to as much as 22% of issued ordinary share capital and voting rights, up from the previous 20% cap.
Exor could raise its holding further with approval from the Philips Supervisory Board. Governance arrangements remain unchanged, including Exor’s right to nominate one member of the Supervisory Board.
S&P 500 futures were up 0.1% in early trading, while investors focused on Exor’s continued backing of Philips and management’s 2026–2028 plan.
Feike Sijbesma, Chairman of the Supervisory Board of Royal Philips, said: "Exor’s long-term commitment underlines its confidence in Philips and its strategy. The Supervisory Board values Exor’s constructive engagement, and I appreciate Benoît Ribadeau-Dumas’ continued contribution as we oversee Philips’ strategic direction."
Philips CEO Roy Jakobs said: "The updated agreement reflects Exor’s support for Philips and its Board of Management as we execute our 2026–2028 plan. It underscores the value creation potential of the plan and our focus on delivering profitable growth."
At $27.11, the stock is above its 20-day, 50-day and 100-day SMAs and sits just above the 200-day SMA at $27.10, making that level a key long-term pivot. Holding above it could support further upside, while a break below may keep the stock range-bound.
RSI stands at 54.48, signaling neutral momentum with room for additional gains without appearing overbought.
The broader setup remains mixed. The 20-day SMA is still below the 50-day SMA, while the May death cross remains in place.
The stock has rebounded from its $23.85 July low, though the $33.44 52-week high remains a major upside hurdle.
