According to Woofun AI, GameStop (GME.US) has officially launched a debt restructuring plan totaling 1.4 billion US dollars. The core mechanism is to exchange shares through the issuance of new shares, with the aim of eliminating future cash repayment obligations rather than reducing interest expenses.

This move marks the company's attempt to optimize its balance sheet at zero interest costs, but at the same time, it also deeply binds the equity structure to debt repayment, causing the market to pay close attention to potential dilution effects.

Judging from the transaction structure, this stock exchange plan has set strict pricing and time frames. Starting August 3, 2026, the system will determine the final share conversion ratio based on a volume-weighted average price for 35 consecutive trading days, and set an undisclosed minimum price standard per share to protect shareholders' interests.

According to data compiled by Woofun AI, GameStop (GME.US) held $7.4 billion in cash and equivalent and $4.2 billion in long-term debt as of May 2, which provided it with sufficient liquidity buffers. According to the agreement, the transaction is expected to be completed on September 23, 2026, and if not reached by September 30, 2026, either party has the right to terminate it.

Notably, the financing plan uses a 0% interest rate, meaning that GameStop (GME.US)'s current cash interest expenses will not be reduced, but will instead offset $1.4 billion in forward liabilities through equity swaps.

The deeper risk lies in the underlying control logic of Bitcoin assets. The 4,709 bitcoins previously disclosed (based on May 2, 2026 data) are not directly held by the company, but are in the form of digital asset receivables. These assets have an exercise price of $80,000 and are call options valid until May 29, 2026.

Although GameStop (GME.US) has since signed a new contract, key details such as the exact amount, exercise price, and expiration date have not been disclosed. Under the agreement, Coinbase (COIN.US) Credit has the right to reuse, mix, mortgage, or sell these collateral assets. Due to the loss of direct control, GameStop (GME.US) has removed the relevant bitcoins from its accounts and recorded them as accounts receivable, which has led to a significant informational asymmetry between the amount of BTC it actually holds and its book value.
