Grant Thornton Advisors plans to acquire CBIZ for $5 billion and is expected to become the fifth largest professional services, tax and advisory services provider in the US

The Zhitong Finance App learned that on July 29, Grant Thornton Advisors (Grant Thornton Advisors) announced the acquisition of CBIZ, a professional service consulting company headquartered in the US, for an all-cash payment of 5 billion US dollars. Under the agreement, CBIZ shareholders will receive $55 in cash per share. In this transaction, Deutsche Bank acted as chief financial advisor to Grant Thornton, and Goldman Sachs acted as CBIZ's financial advisor.

The transaction is expected to close in the fourth quarter of 2026. If the deal succeeds, Grant Thornton (Grant Thornton) is expected to become the fifth largest professional, tax and advisory services provider in the US after the “Big Four” accounting firms (Deloitte, EY, KPMG, and PwC).

New Mountain Capital will add additional equity capital to provide financing support for this transaction. New Mountain Capital, headquartered in New York, is a growing private equity firm with assets under management of approximately US$55 billion, focusing on professional services, healthcare, and software circuits.

Once the deal is completed, CBIZ will become a wholly-owned subsidiary of Grant Thornton Advisors. CBIZ's common stock will be delisted from the New York Stock Exchange and will no longer be traded. After the deal is completed, Grant Thornton Advisors plans to split CBIZ's benefits and insurance services division into a new separate entity supported by New Mountain Capital.
