Qi He Environmental Protection (00976): No information on the transaction has been obtained from the receiver

Zhitong Finance App News, Qihe Environmental Protection (00976) issued an announcement. The board of directors noted that on July 31, 2026, Derichebourg S.A. issued a press release stating that the transaction was completed on the same day. According to the press release, the deal was worth €480 million.

The revenue generated by the Scholz Group represents approximately 90% of the Group's revenue for the six months ended June 30, 2024. As reported in the Company's interim report for the six months ended June 30, 2024, the Group's segmental revenue and profit were approximately HK$8,098 million and HK$190.9 million respectively in Europe, and approximately HK$867 million and HK$5.4 million respectively in Asia, while North America's contribution was negligible.

As of the date of this announcement, the Company has not obtained any information relating to the transaction from the receiver. However, according to currently available data, the Board of Directors believes that the Scholz Group's operations are significant for the Group, and if the transaction is completed, the Management Group may be able to cash out a one-time profit from the transaction, but the Company will face a sharp decline in earnings and operating profit. After the transaction is completed, the member companies of the Scholz Group will no longer be subsidiaries of the Company, and the financial results of the Scholz Group will no longer be comprehensively included in the Group's financial statements.

The Company is consulting its advisors on actions to be taken in connection with the transaction and is making further enquiries with the receiver. The Company will make further announcements in due course in accordance with the listing rules.
