New Amity Group (08412) plans to issue a total of 244.49,500 subscription shares at a discount of approximately 7.55% to raise about HK$5.89 million

According to Zhitong Finance App, Xinai Group (08412) issued an announcement. On July 30, 2026 (after the trading period), the company signed a subscription agreement with the subscriber. According to this, the subscriber has conditionally agreed to subscribe, and the company has conditionally agreed to allocate and issue a total of 244.495 million subscribed shares. The subscription price for each subscribed share is HK$0.245.

The subscription price of HK$0.245 per share is equivalent to: (i) approximately 7.55% off the closing price of HK$0.265 per share as reported on the day of the subscription agreement; and (ii) approximately 13.12% discount on the average closing price of the shares reported on the Stock Exchange for five consecutive trading days immediately prior to the subscription agreement date of approximately HK$0.282 per share.

The subscribed shares are equivalent to: (i) approximately 20% of the Company's current issued share capital (i.e. 122 million shares) on the date of this announcement; and (ii) approximately 16.67% of the Company's issued share capital (i.e. 147 million shares) expanded through allotment and issuance of subscribed shares (subject to completion of the subscription matters, and assumes that there will be no change in the issued share capital of the Company other than the allocation and issuance of subscribed shares). The total face value of the shares subscribed under this subscription will be HK$244,500.

The total proceeds will be approximately HK$5.99 million, while the net proceeds from the subscription (after deducting all relevant professional fees and other expenses of approximately HK$100,000 to be borne by the Company in accordance with the subscription matters) are estimated to be approximately HK$5.89 million, which is equivalent to a net subscription price of approximately HK$0.241 per subscribed share. As the Company continues to develop its current operating strategy for its entertainment and restaurant business, the Company intends to use the proceeds from subscription matters as the Group's general working capital.
