(an indirect wholly-owned subsidiary of the company, as the buyer) signed a share transfer agreement with Lin Guoqiang, Wang Hu, Xiang Hongwei, Zhang Tingbing, Ren Bingzhang, Li Yandong, Shi Lianshan, Yang Huamao, Xu Yanming, Li Shouqiang, Feng Xuwei, Gao Fengxin, Li Shoulin, Nie Yutao, Hu Dongying and Chen Xuya (as sellers). According to this, the buyer has agreed to the acquisition, and the seller has already agreed to sell a total of 754.73,900 shares of Pulian Software, accounting for about 19.07% of the total issued share capital of Pulian Software on the date of the share transfer agreement. The total cash cost is RMB 859 million (equivalent to RMB 11.38 per share). After completion, the buyer will directly hold approximately 19.07% of the issued shares in Plum Software.

Using the Group's artificial intelligence capabilities and the existing products, customer scenarios and implementation experience of universal software, the two sides plan to gradually promote the integration of artificial intelligence with financial sharing, treasury management, budget management and other enterprise management systems, and introduce a Forward Deployed Engineering (FDE) model to provide high-quality products and services for the intelligent transformation of large group customers; the two sides also plan to jointly develop AI-based enterprise management applications and related incremental services to explore innovative products and service delivery models in the intelligent era. Enrich the Group's product and service portfolio, expand the market for large group enterprises, and further enhance the Group's competitiveness in the field of enterprise-level artificial intelligence applications.
