On July 27, 2026, Shandong Caike New Materials received a written notice from New Highland Capital, one of the priority investors. Shandong Caike New Materials learned that New Highland Capital has agreed to transfer all of its shares in Shandong Caike New Materials to an independent investor (transferee) on the same day. The repurchase rights attached to the shares held by New Highland Capital shall automatically terminate when the above transfer is completed and New Highland Capital no longer holds any shares in Shandong Kaike New Materials. For the avoidance of doubt, the repurchase rights enjoyed by New Highland Capital under the shareholders' agreement cannot be transferred or owned by the transferee, and the shares transferred by the transferee are not accompanied by any repurchase rights.
