At a hearing held in the Supreme Court of New York on July 22, 2026 (New York time), the Group's temporary injunction application prohibiting Nautica and Spyder brand franchisees and related parties to take action to terminate the Nautica and Spyder brand franchise agreements has been rejected. The Group is preparing to appeal (appeal) against the rejection of its application for an interim injunction. Furthermore, on July 23, 2026, ABG Group issued an official notice of termination of the relevant franchise agreement between Nautica and the Spyder brand (the alleged effective date is July 23, 2026) and required payment of additional franchise fees in accordance with the terms of the relevant franchise agreement, and the Group is in dispute over the relevant amount. The Group is also seeking legal advice and will take appropriate action with respect to the alleged termination of the franchise agreement to resolutely protect its rights and legitimate interests, and (as part of the appeal) seek a ban on the execution of such termination notices until the dispute is resolved.
