Possible Bearish Signals With SBM Offshore Insiders Disposing Stock

Listen to the news

The fact that multiple SBM Offshore N.V. (AMS:SBMO) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At SBM Offshore

The CEO & Chair of the Management Board, Oivind Tangen, made the biggest insider sale in the last 12 months. That single transaction was for €1.1m worth of shares at a price of €25.06 each. That means that an insider was selling shares at slightly below the current price (€33.06). We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was only 11% of Oivind Tangen's holding.

In the last year SBM Offshore insiders didn't buy any company stock. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. If you want to know exactly who sold, for how much, and when, simply click on the graph below!

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. We usually like to see fairly high levels of insider ownership. SBM Offshore insiders own about €26m worth of shares. That equates to 0.5% of the company. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Do The SBM Offshore Insider Transactions Indicate?

It doesn't really mean much that no insider has traded SBM Offshore shares in the last quarter. We don't take much encouragement from the transactions by SBM Offshore insiders. The modest level of insider ownership is, at least, some comfort. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company. At Simply Wall St, we've found that SBM Offshore has 3 warning signs (2 shouldn't be ignored!) that deserve your attention before going any further with your analysis.

For the purposes of this article, insiders are those individuals who report their transactions to the relevant regulatory body. We currently account for open market transactions and private dispositions of direct interests only, but not derivative transactions or indirect interests.
