Ruici Healthcare (01526): Tian Wenguo appointed as independent non-executive director

Zhitong Finance App News, Ruici Healthcare (01526) issued an announcement. Dr. Wang Yong has resigned as an independent non-executive director and member of the Company's Audit Committee in order to invest more time in his other business affairs, effective December 29, 2025.

The Board of Directors is pleased to announce that Mr. Tian Wenguo has been appointed as an independent non-executive director of the Company to fill the temporary vacancy and as a member of the Audit Committee with effect from December 29, 2025. Therefore, according to the Company's second revised and re-listed Memorandum of Association and Rules, Mr. Tian will serve until the first general meeting of shareholders of the Company after his appointment, that is, the recent annual general meeting of shareholders of the Company, and can be re-elected by the Company's shareholders at the annual shareholders' meeting.

The Board of Directors further announced that since Dr. Wang has resigned as a member of the Audit Committee and Mr. Tian has been appointed as a member of the Audit Committee, the Audit Committee will be composed of Ms. Huang Siying (Chairman), Mr. Jiang Peixing and Mr. Tian, which will take effect from December 29, 2025.
