Tianyuan Healthcare (00557): Changes in the controlling shareholder's equity structure Tianyuan Manganese Industry is still the company's direct controlling shareholder

Zhitong Finance App News, Tianyuan Medical (00557) issued an announcement. The company was notified by Tianyuan Manganese Industry that on December 17, 2025, due to Tianyuan Manganese's internal equity restructuring, Ningxia Tianyuan Group signed an equity transfer agreement with Ningxia Tianyuan Co., Ltd., and Ningxia Tianyuan Group transferred 100% of its shares in Tianyuan Manganese Industry to Ningxiayuan shares free of charge (the restructuring). The Company was further informed that the restructuring was completed on the same day (i.e. December 17, 2025).

Immediately before the restructuring, Tianyuan Manganese directly held about 66.69% of the total number of issued shares of the Company. Tianyuan Manganese Group directly owns 100% of Tianyuan Manganese Group, while Ningxia Tianyuan Group directly holds about 99.99% by Mr. Jia.

After the restructuring was completed and on the date of this announcement, Tianyuan Manganese was directly owned by Ningtian Tianyuan Co., Ltd., while Ningxia Tianyuan Group directly held 100% of its shares (while Mr. Jia directly held about 99.99%). Tianyuan Manganese continues to directly hold approximately 66.69% of the total number of issued shares of the Company.

Immediately before and after the completion of the restructuring, Tianyuan Manganese was still the direct controlling shareholder of the company, and Mr. Jia remained the final controlling shareholder of the company. The Board believes that the restructuring will not have any significant impact on the management and operation of the Company.
