(hereinafter referred to as “Chuzhou Mirun” and “transferee”), a wholly-owned subsidiary of the company, intends to use its own capital or self-financing RMB 336 million to acquire Shanghai Jiale Co., Ltd. (hereinafter referred to as “Shanghai Jiale”, “Jiale Shares”, “Target Company”) held by Taian Jiale Investment Service Partnership (hereinafter referred to as “Jiuan Investment”) with its own capital or self-financing of RMB 336 million. Acquisition of Jiaxing Hongzhifan for 128,600 yuan An equity investment partnership (limited partnership) (hereinafter referred to as “Hongzhifan Investment”) holds 4.1520% of Shanghai Jiale's shares.
