Emperor Cultural Industries (00491): Emperor Cinemas Beijing has signed a lease agreement for the lease of a new theater located in Beijing, China

According to the Zhitong Finance App, Emperor Culture Industry (00491) issued an announcement. On December 15, 2025, Emperor Cinemas Beijing (as a tenant) entered into such a lease agreement with the relevant owners for the lease of a new theater located in Beijing, China.

Since such properties are located in the same development project under such lease agreements, and the owners are interrelated, and the terms of such lease agreements are negotiated simultaneously, such transactions to be carried out under such lease agreements must be calculated together in accordance with section 14.22 of the Listing Rules.

The first owner, Beijing Linlian Real Estate Co., Ltd. is a limited company incorporated in China and is mainly engaged in property investment. The second owner, Beijing Xingtai Tonggang Real Estate Co., Ltd. is a limited company incorporated in China and is mainly engaged in property investment. These properties are located in a cinema in Taikoo Place, Beijing (the Yidi Port Shopping Mall forms part of) in the Jiangtai area of Chaoyang District, Beijing, China. The first property under the first lease agreement is located in stores L4 and L5 on the 4th and 5th floors of the Yidi Port Shopping Mall; and the second property under the second lease agreement is located at WL301 on the 2nd to 4th floors of Taikoo Place, Beijing.

The terms and conditions of such tenancy agreements (including basic rent and turnover rent ratio (where applicable)) are concluded after negotiation in accordance with the principle of fairness, and refer to (i) the current leases of the Group's other cinemas; and (ii) the characteristics of such properties, such as geographical location, length of rental, number of cinemas and seats, and the estimated entry rate of such properties. The directors believe that the terms and conditions of such lease agreements are fair and reasonable, and that such transactions are carried out in accordance with general commercial terms in the course of daily business and are in the overall interests of the Company and shareholders.
