Listen to the news

Some Designer Brands Inc. (NYSE:DBI) shareholders may be a little concerned to see that the Vice Chairman, Deborah Ferree, recently sold a substantial US$1.1m worth of stock at a price of US$8.06 per share. That sale reduced their total holding by 32% which is hardly insignificant, but far from the worst we've seen.

The Last 12 Months Of Insider Transactions At Designer Brands

In fact, the recent sale by Deborah Ferree was the biggest sale of Designer Brands shares made by an insider individual in the last twelve months, according to our records. So it's clear an insider wanted to take some cash off the table, even below the current price of US$8.29. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 32% of Deborah Ferree's holding.

Insider Ownership Of Designer Brands

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it's a good sign if insiders own a significant number of shares in the company. Designer Brands insiders own about US$122m worth of shares (which is 30% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
