The actual controllers of Jintian Co., Ltd. (601609.SH) were changed to Lou Guoqiang and Lou Cheng

(601609.SH) announced that on November 27, 2025, the actual controllers of the company, Mr. Lou Guoqiang and Ms. Lu Xiaomi signed an agreement with their child, Mr. Lou Jingjing. The actual controller, Ms. Lu Xiaomi, the controlling shareholder of the company, gave away 50.7862% of the shares held by the company's controlling shareholder Ningbo Jintian Investment Holdings Co., Ltd. (“Jintian Investment”) free of charge to his son Mr. Lou Cheng; Mr. Lou Guoqiang, one of the actual controllers of the company, gave away 19.9594% of his shares in Jintian Investment its Mr. Ziloucheng gave away 8.2018 percent of his shares in Jintian Investment to his daughter, Ms. Lou Jingjing, free of charge. After the equity change was completed, Ms. Lu Xiaomi and Mr. Lou Guoqiang no longer hold shares in Jintian Investment. Mr. Lou Cheng holds 70.7456% of Jintian Investment's shares, and Ms. Lou Jingjing holds 8.2018% of Jintian Investment's shares.

This equity change is a change in the equity structure of the controlling shareholder of the company. It is an act of equity restructuring within the actual controller family. It does not involve a change in the shares of the company held by Jintian Investment, and does not touch on the proposed acquisition. After the equity change was completed, the controlling shareholder of the company was still Jintian Investment. The actual controller members were adjusted from Mr. Lou Guoqiang, Ms. Lu Xiaomi, and Mr. Lou Cheng to Mr. Lou Guoqiang and Mr. Lou Cheng. There was no change in the total number and proportion of shares held by the controlling shareholders, actual controllers and co-actors of the company.
