Based on this, the company has agreed to provide a loan of RMB 70 million to the user. The loan period is one year from December 4, 2025 to December 3, 2026.

After considering the Company's current available cash and bank balances, the background of users (including its financial capacity, ability to repay, etc.), the loan period under the loan agreement, and the possibility of generating higher interest income than cash after providing a loan under the loan agreement, the directors (including independent non-executive directors) believe that although not established in the daily business process of the Group, the terms of the loan agreement (including but not limited to the loan principal amount, annual interest rate and loan period) are determined fairly by the contracting parties in accordance with general commercial terms reasonable, and in line with The overall interests of the Company and its shareholders.

According to the loan agreement, the company has the right to inspect and monitor the use of loans and understand the borrower's users' plans, execution plans, business management, financial activities, material inventory, etc. Users should provide the above information in full and truthfully. If the user violates the loan agreement, the company has the right to take back the loan early, and the user shall repay the debt and interest according to the company's requirements.
