Some Cadre Holdings, Inc. (NYSE:CDRE) shareholders may be a little concerned to see that the President, Brad Williams, recently sold a substantial US$1.2m worth of stock at a price of US$43.62 per share. That sale reduced their total holding by 26% which is hardly insignificant, but far from the worst we've seen.
The Executive Chairman & CEO, Warren Kanders, made the biggest insider sale in the last 12 months. That single transaction was for US$6.6m worth of shares at a price of US$33.86 each. That means that an insider was selling shares at slightly below the current price (US$40.21). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. We note that the biggest single sale was only 1.8% of Warren Kanders's holding.

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Cadre Holdings insiders own about US$549m worth of shares (which is 32% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
An insider sold Cadre Holdings shares recently, but they didn't buy any. Looking to the last twelve months, our data doesn't show any insider buying. But since Cadre Holdings is profitable and growing, we're not too worried by this. The company boasts high insider ownership, but we're a little hesitant, given the history of share sales. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
