Listen to the news

Viewing insider transactions for PVH Corp.'s (NYSE:PVH ) over the last year, we see that insiders were net sellers. This means that a larger number of shares were sold by insiders in relation to shares purchased.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

PVH Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider sale was by the General Counsel & Secretary, Mark Fischer, for US$336k worth of shares, at about US$106 per share. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. The silver lining is that this sell-down took place above the latest price (US$81.99). So it may not tell us anything about how insiders feel about the current share price. The only individual insider seller over the last year was Mark Fischer.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. Insiders own 0.6% of PVH shares, worth about US$26m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Does This Data Suggest About PVH Insiders?

There haven't been any insider transactions in the last three months -- that doesn't mean much. Still, the insider transactions at PVH in the last 12 months are not very heartening. The modest level of insider ownership is, at least, some comfort. Of course, the future is what matters most.
