(hereinafter referred to as “Fuchuang Superior”) by issuing shares and paying cash (including part of the cash paid by Chinachem Technology's wholly-owned subsidiary) and Shenzhen Rui Technology Co., Ltd. (hereinafter referred to as “Rui Technology”, the company holds 26.2588% of Fuchuang Superior's shares), Shenzhen Futuang Superior No. 1 Enterprise Management Partnership (limited partnership) (below) “Fuchuang One” for short, the partnership holds 12.1291% of Fuchuang Superior's shares)) and plans to issue shares to raise supporting capital (hereinafter referred to as “this transaction”). Prior to this transaction, Chinachem Technology held 42.1602% of Fuchuang Superior's shares through its wholly-owned subsidiary Huamao (Dongyang) New Materials Co., Ltd. After the transaction is completed, the company will directly and indirectly hold 100% of Fuchuang Superior's shares.
