We note that the Hennessy Advisors, Inc. (NASDAQ:HNNA) Executive Vice President, Daniel Steadman, recently sold US$51k worth of stock for US$10.26 per share. It might not be a huge sale, but it did reduce their holding size 23%, hardly encouraging.
Over the last year, we can see that the biggest insider sale was by the CFO & Senior VP, Kathryn Fahy, for US$100k worth of shares, at about US$10.00 per share. That means that even when the share price was slightly below the current price of US$10.18, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. This single sale was just 14% of Kathryn Fahy's stake.

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. We usually like to see fairly high levels of insider ownership. Insiders own 39% of Hennessy Advisors shares, worth about US$32m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
Insiders sold Hennessy Advisors shares recently, but they didn't buy any. And there weren't any purchases to give us comfort, over the last year. While insiders do own shares, they don't own a heap, and they have been selling. We'd practice some caution before buying! While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
