Tourover-W (09690): Chen Zhe's qualification as company secretary confirmed by the Stock Exchange

According to the Zhitong Finance App, Tourover-W (09690) issued an announcement. The Stock Exchange has confirmed that Mr. Chen Zhe, the current joint company secretary, is eligible to serve as the company secretary of the Company under section 3.28 of the listing rules after the exemption expires on September 25, 2026. As a result, Ms. Wong Mei Fung has proposed to resign as Joint Company Secretary with effect from September 26, 2026. Following the resignation of Ms. Huang, Mr. Chen will continue to serve as the company's sole company secretary.

Following her resignation as Joint Company Secretary, Ms. Wong has also resigned as an authorized representative of the Company under section 3.05 of the Listing Rules. Mr. Chan has been appointed as an authorized representative to replace Ms Wong with effect from September 26, 2026. Mr. Chen Min, an executive director of the Company, continues to act as another authorized representative.

Ms. Wong continues to represent the Company in receiving legal process documents and notices in Hong Kong under section 19.05 (2) of the Listing Rules and Part 16 of the Companies Ordinance (Chapter 622 of the Laws of Hong Kong).
