Lenovo Group (00992): Remaining unpaid US$117 million in total principal amount of convertible bonds in 2029

According to the Zhitong Finance App, Lenovo Group (00992) issued an announcement. From September 5, 2026 to the date of this announcement, the total principal amount of US$487.11 million (accounting for about 7.22% of the total initial principal amount of the 2029 convertible bonds) has been converted (converted) to HK$8.37 per share according to the current adjusted exchange price and cancelled in accordance with the terms and conditions. As a result, a total of 456.17,800 converted shares (accounting for about 0.36% of the total number of shares issued by the Company at the date of this announcement (immediately after conversion)) have been issued and recorded as fully paid.

At the date of this announcement, the remaining outstanding balance of the total principal amount of 2029 convertible bonds was US$117 million (2029 convertible bonds not yet repaid), accounting for about 17.39% of the total initial principal amount of the 2029 convertible bonds.

After all outstanding 2029 convertible bonds have been converted at the current adjusted exchange price of HK$8.37 per share, the maximum number of converted shares the Company will issue is 109.9 million converted shares, accounting for approximately 0.86% of the total number of shares issued on the date of this announcement (immediately after conversion).

According to the redemption notice notice and section 8 (c) (i) of the terms and conditions, the Company will fully but not partially redeem the outstanding 2029 convertible bonds on the redemption date (September 16, 2026) at 100% of the principal amount along with the interest accrued but not paid as of the redemption date (September 16, 2026). According to the terms and conditions, bondholders can still exercise the right of conversion until the end of the conversion period (which ends at 23:59 (Hong Kong time) on September 7, 2026).

Until the 2029 convertible bonds have no outstanding balance, the Company will apply to the Hong Kong Stock Exchange to withdraw the listing status of the 2029 convertible bonds.
