The company received the “Decision on Issuing Warning Letter Measures against Ningbo Heli Technology Co., Ltd., Fan Kaishu, and Fan Kaiyuan” issued by the Ningbo Regulatory Bureau of the China Securities Regulatory Commission.

According to the decision, Fan Kaishu, as one of the actual controllers, director and deputy general manager of the company, signed an agreement with Ma Xubiao on February 18, 2015 to transfer the 1 million shares of the company held by Fan Kaishu to Ma Xubiao at 10 yuan per share. Ma Xubiao paid the transfer amount of 5 million yuan as agreed, and Fan Kaishu took over 500,000 shares of the original shares of the corresponding company. The People's Court later determined that Fan Kaishu and Ma Xubiao had an equity transfer and brokering relationship, but the legal relationship was null and void because it violated the mandatory provisions of the Company Law. The above proxy shareholding matters were not disclosed until the 2025 annual report, resulting in inaccurate disclosure of shareholders' shareholding information in the company's “Prospectus for the Initial Public Offering of Shares” and in the regular reports for the period from listing in 2017 to the 2025 semi-annual report period.

The above actions of the company violate relevant regulations. As one of the actual controllers of the company, Fan Kaishu served as the company's vice chairman, deputy general manager, and chairman of the board of supervisors from 2015 to 2025. The above acts violated relevant regulations. As the secretary of the board of directors of the company at the time, Fan Kaiyuan was aware of the signing of the above agreement, but did not promptly report to the board of directors and organize disclosure, in violation of relevant regulations. The Ningbo Securities Regulatory Bureau decided to take administrative supervision measures to issue warning letters against the company, Fan Kaishu, and Fan Kaiyuan, and record them in the securities and futures market integrity file database.
