Jinghe Integration (02249) proposes to appoint Yang Guoqing as a non-executive director

Zhitong Finance App News, Jinghe Integration (02249) announced that Ms. Chen Xiaobei plans to resign as a non-executive director of the second board of directors of the company and a member of the board nomination committee due to work adjustments. To ensure that the board of directors continues to meet gender diversity requirements, Ms. Chen Xiaobei's resignation will take effect on the day the company's shareholders' meeting elects a new female director.

Mr. An Guangshi is about to complete six years as an independent non-executive director of the company. In accordance with relevant laws and regulations, he plans to resign as an independent non-executive director of the company, chairman of the board of directors audit committee, and a member of the nomination committee. His resignation will take effect on the day the company's shareholders' meeting elects a new independent non-executive director.

Following the nomination committee's qualification review, the board of directors recommended (i) appointing Ms. Yang Guoqing as a non-executive director of the company and also serving as a member of the nomination committee; and (ii) Mr. Sheng Mingquan as an independent non-executive director of the company and also serves as the chairman of the Audit Committee and a member of the nomination committee. Their terms of office begin on the date of approval by the shareholders' meeting and end on the date the term of the second board of directors expires.
