Jiangsu Ninghu Expressway (00177) plans to acquire 100% of Suxi Changnan Expressway's shares for 7.341 billion yuan

Zhitong Finance App News, Jiangsu Ninghu Expressway (00177) issued an announcement. On August 20, 2026, the board of directors of the company reviewed and approved the “Proposal on the Company's Acquisition of 100% Shares in Suxi Changnan Expressway Company”, agreeing that the company would separately acquire 65% of the shares of Suxi Changnan Expressway Company held by Jiangsu Communications Holdings Co., Ltd. (Jiangsu Traffic Control) by means of cash payments, 22.82% of the shares of Suxi Changnan Expressway Company held by Wuxi Transportation Industry Group Co., Ltd. (Wuxi Transportation). Control and Wuxi Transportation are collectively known as the “transferor”) (as sellers and transferors of their respective shares) hold 12.18% of the shares in Suxi Changnan Expressway. The transaction amount was RMB 7.341 billion.

The Changzhou-Wuxi section of the Suxi Changnan Expressway (hereinafter referred to as the “Suxi-Changnan Expressway” or “Standard Highway”) starts at the Qianhuang Junction of the Changyi Expressway, crosses the Xilicao River Diversion section, Changcao Highway and Xinchang Railway on the south side of Qianhuang Town. After crossing with the Xiyi Expressway, it crosses the Changzhou Taihu Bay Tourist Resort via Panjia Town, and enters Mount Wuxi via Xueyan Town. After passing east through the Taihu Tunnel within Wuxi, the Nanquan Junction is connected to the Taihu Lake Highway around Wuxi.

The Suxi-Changnan Expressway includes two tunnels, the Taixianshan Tunnel and the Taihu Tunnel. Among them, the Taihu Tunnel is currently the longest and widest underwater tunnel in China. There are 4 access points along the project (Yuncun, Taihu Bay, Mashan, Junzhang), 3 interconnected hubs (Qianhuang hub, Xueyan hub, Nanquan hub), and 1 service area (Taihu Bay service area).

The acquisition will help the company expand its reserves of high-quality road products, release road network synergy effects through integrated operation, enhance the resilience of the main business, and improve profit returns.

The Suxi-Changnan Expressway is located on the south side of the central city. Together with the Shanghai-Nanjing Expressway, it forms two intercity traffic axes one south and one north between the central city of Suxichang, which play an important role in improving regional traffic capacity. The acquisition of the Suxi-Changnan Expressway further improved the company's layout in the southern Jiangsu road network, expanded the scale and scope of the company's highway operations, increased high-quality asset reserves, and enhanced sustainable development capabilities.
