1. Petition No. 1: The company received a winding-up petition No. 1: HCCW 563/2026 filed by RACHINI ALLEY LIMITED (Petitioner 1) with the High Court on July 24, 2026, requesting the High Court to wind up the company in accordance with the provisions of the Companies (Liquidation and Miscellaneous Provisions) Ordinance, Chapter 32 of the Laws of Hong Kong. Petition 1 is a submission to the company regarding the company's alleged failure to respond to Petitioner 1's conversion notice issued on April 16, 2026 on the convertible stock notes and the alleged debt involving $9.1 million. Petition 1 is scheduled to be heard on October 2, 2026.

2. Petition No. 2: The company received the winding-up petition HCCW 653/2026 filed by Amber Financial Services Group Limited (Petitioner 2) in the High Court on August 18, 2026, requesting the High Court to wind up the company in accordance with the provisions of the Company's Liquidation Regulations. Petition 2 was brought against the company in respect of the company's alleged unsettled judgment debt of approximately HK$476,000 under a civil lawsuit (Case No. DCCJ 5704/2025). Petition 2 is scheduled to be heard on November 4, 2026.

The Company is currently seeking legal advice from its legal counsel on these petitions to assess these matters and assess the legal, financial and operational impact of the petitions on the Company. Furthermore, the company has applied to the Stock Exchange to resume share trading from 9:00 a.m. on August 21, 2026.
