Shares of ZeroStack Corp (NASDAQ:ZSTK) are surging Wednesday afternoon after the company announced a definitive agreement for a $1 billion strategic contribution of Memecore tokens.
Here’s what investors need to know.
Under the agreement, Purple AI Inc and Blockcat Pte. Ltd. will contribute 925,925,926 Memecore tokens, valued at their market price of $1.08 per token, in exchange for 3.5 million common shares and pre-funded warrants for up to 36,198,293 additional shares.
The transaction values ZeroStack shares at $25.19 each, representing a premium of more than 12 times its recent trading price.
CEO Daniel Reis-Faria highlighted the nature of the agreement for the company’s long-term digital asset roadmap. Reis-Faria stated, “This transaction represents a defining milestone not only for ZeroStack, but for the broader digital asset industry.”
Reis-Faria further noted, “Our objective has always been to build the premier publicly traded gateway to next-generation digital infrastructure assets. We believe the combination of our existing OG holdings with a strategic position in the Memecore ecosystem creates a compelling platform capable of generating long-term value for shareholders while positioning ZeroStack at the intersection of decentralized AI, digital assets and institutional capital.”
ZSTK Price Action: ZeroStack shares closed Wednesday up 169.55% at $4.96 at the time of publication on Wednesday, according to Benzinga Pro data.
