Tongyu Communications (002792.SZ) plans to acquire 25% of Jiaxian Communications's shares for 300 million yuan

(“Jiaxian Communications”) shares (corresponding to 18.152,700 shares) through share transfer. The company purchased some of the shares of the target company, mainly based on the strong synergy between the target company's business and the company's business. After the transaction is completed, the company can be extended downstream in the industrial chain. At the same time, the original shareholders of the target company promised that net profit attributable to shareholders of the parent company after deducting non-recurring profit and loss in the 2027, 2028, and 2029 consolidated statements would not be less than 100 million yuan, 200 million yuan, and 300 million yuan respectively.
