Anyone interested in PriceSmart, Inc. (NASDAQ:PSMT) should probably be aware that the Director, Sherry Bahrambeygui, recently divested US$404k worth of shares in the company, at an average price of US$192 each. However, the silver lining is that the sale only reduced their total holding by 5.3%, so we're hesitant to read anything much into it, on its own.
The President & COO, John Hildebrandt, made the biggest insider sale in the last 12 months. That single transaction was for US$1.2m worth of shares at a price of US$115 each. So it's clear an insider wanted to take some cash off the table, even below the current price of US$194. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was only 8.1% of John Hildebrandt's holding.

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. PriceSmart insiders own 7.2% of the company, currently worth about US$415m based on the recent share price. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
Insiders sold stock recently, but they haven't been buying. And there weren't any purchases to give us comfort, over the last year. But it is good to see that PriceSmart is growing earnings. The company boasts high insider ownership, but we're a little hesitant, given the history of share sales. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. Case in point: We've spotted 1 warning sign for PriceSmart you should be aware of.
