Icop Shareholders Ok Euronext Milan Transfer, Trevi Takeover

12:16 AM EDT, 07/29/2026 (MT Newswires) -- Icop (ICOP.MI) said Tuesday its shareholders approved the proposal to transfer its shares to the Borsa Italiana-managed Euronext Milan and the reverse takeover of fellow underground engineering company Trevi - Finanziaria Industriale (TFIN.MI). The company is planning to transfer its shares from Euronext Growth Milan, subject to the approval of Borsa Italiana and Italy's securities market regulator, Commissione Nazionale per le Società e la Borsa, or Consob. Icop's offer for Trevi includes a consideration of 0.133 newly issued Icop shares for each Trevi share tendered. Shareholders also approved the expansion of Icop's board to 10 members from nine, and the appointment of statutory auditors for 2026 through 2034, among other resolutions.
