According to Zhitong Financial App News, Jinhui Group (00137.HK) announced that on July 28, 2026 (after the end of the trading period on the Stock Exchange), (1) the first seller is an indirect subsidiary of the Company with approximately 55.69% interest; (i) entered into a first memorandum of agreement with the first buyer. According to the memorandum and its terms and conditions, the first buyer agreed to buy and the first seller agreed to sell the first ship; and (ii) signed the first ship leasing agreement with the first buyer, and under the agreement, the first seller (as an indirect subsidiary of the Company) person) agreed with the first buyer lease the first ship from the first buyer (as the shipowner) upon receipt of the first ship in accordance with the first memorandum of agreement and the terms and conditions contained therein; and
