Jinhui Group (00137) subsidiary entered into a sale-leaseback arrangement

Zhitong Finance App News, Jinhui Group (00137) announced that on July 28, 2026 (after the end of the trading session on the Stock Exchange), (1) the first seller is an indirect subsidiary of the Company with approximately 55.69% interest; (i) entered into a first memorandum of agreement with the first buyer. According to the memorandum and its terms and conditions, the first buyer agreed to buy and the first seller agreed to sell the first ship; and (ii) entered into a first ship leasing agreement with the first buyer, and under the agreement, the first seller (as the lighthouse charterer) agreed to the first ship. In accordance with paragraph 1 of the first buyer A memorandum of agreement and the terms and conditions contained therein, lease the first ship to the first buyer (as the shipowner) upon receipt of the first ship; and

(2) The second seller, an indirect subsidiary holding approximately 55.69% of the Company's interest, (i) entered into a second memorandum of agreement with the second buyer, according to which the second buyer agreed to buy and the second seller agreed to sell the second ship; and (ii) entered into a second ship leasing agreement with the second buyer, under which the second seller (as a bareboat charterer) agreed to lease the second ship (as the second shipowner) when the second buyer received the second ship in accordance with the second memorandum of agreement and the terms and conditions contained therein Ships.

The first ship was a bulk carrier under construction with a load capacity of approximately 64,500 tonnes. It was acquired by the first seller under a shipbuilding contract on September 30, 2025. The ship is expected to be delivered by the shipyard and registered in Hong Kong in February 2028. Since the first ship is still under construction, no profit was recorded in the two financial years immediately prior to the sale and leaseback arrangement.

The second ship is a bulk carrier under construction with a carrying capacity of approximately 64,500 tonnes. It was purchased by the second seller under a shipbuilding contract on September 30, 2025. The ship is expected to be delivered by the shipyard and registered in Hong Kong in March 2028. Since the second ship is still under construction, no profit was recorded in the two financial years immediately prior to the sale and leaseback arrangement.
