(the subsidiary Jinyuan Auto Drive System (Guangzhou) Co., Ltd. changed its name to Boyuan Smart Drive (Guangzhou) Technology Development Co., Ltd. in April 2026) plans to invest 50 million yuan in Dongguan Yuchen Precision Parts Co., Ltd. (“Chenyu Precision”) through a capital increase. After the capital increase is completed, Boyuan Smart Drive will hold 55.5556% of Chenyu Precision.

The target company of this investment, Chenyu Precision, is still growing. Currently, the target company has small revenue and is still in a state of loss. It develops and produces liquid cold plate products using the MIM (metal injection molding) process, and has achieved small-batch sample testing.

The investment aims to strengthen the company's layout in the server liquid cooling industry. It will promote resource sharing and deep collaboration between the two sides in technology research and development, product design, supply chain management and customer channels, which will help the company improve the server liquid cooling industry chain, enrich the product matrix, and expand new business growth points.
