Notification of the Second Exercise of Rights under TPL-W1 and Changes to Exercise Agent, Contact Location, and Cheque Payment Period (Revised)

Whereas Thai Parcel Public Company Limited (the "Company") has issued the warrants to purchase newly issued ordinary shares of the Company No. 2 (TPL-W1) (the "Warrants") in the amount of 332,050,955 units to the existing shareholders of the Company whose names appeared on the record date for determining the shareholders entitled to subscribe for newly issued ordinary shares and who were allocated such newly issued ordinary shares, after the Company had registered the increase of paid-up capital for the issuance and offering of newly issued ordinary shares to the existing shareholders on a pro rata basis at the ratio of 1.75 newly issued ordinary shares allocated per 1 warrant. The Company has determined the key terms and conditions of the Warrants, under which the Warrants may be exercised to purchase the Company's ordinary shares on a total of 7 exercise dates. The first exercise date is 30 September 2025, and thereafter on the last business day of March, June, September, and December. The final exercise date shall be the date on which the Warrants reach their maturity of 18 months from the issue date of the Warrants, which falls on 19 March 2027 (the "Exercise Date"). In the event that any Exercise Date is not a business day, such Exercise Date shall be postponed to the immediately preceding business day.
